The range on screen, then a written valuation
- Estimated range, in about three minutes
The range comes from your fees by service line, expected client retention and practice size, priced on published broker data and our own corridors.
- One call with our CPA team
We walk through the range, take the fee history and confirm the two numbers that move it most. The call commits you to nothing.
- Written valuation within 24 hours of the call
It states the range and the terms behind it. The same practice can sell at 1.4x with a four-year look-back or at 1.1x all cash.
- A written offer, if there is a fit
The offer comes with funding confirmed, usually in weeks three to four.
How a sale to WIN compares
A small senior deal team and one investment committee answer questions in days.
| Question | Individual buyer | Traditional consolidator | WIN |
|---|---|---|---|
| Funding certainty | Often an SBA loan and a financing contingency, so the deal waits on a bank. | Approvals move through layers, and terms can shift late in the process. | Capital committed before the offer, with no financing contingency. |
| Who runs your book | One person, if the transition holds and the loan performs. | A regional office, and your firm becomes a branch of theirs. | A practicing CPA owner who signs returns and sits with your clients. |
| Your staff | Depends on the buyer’s capacity and plans. | Consolidated, and overlapping roles are usually cut. | Retained, trained, and moved up-market as routine work is automated. |
| Your name | Usually replaced with the new owner’s name. | Rebranded to the platform, on the platform’s schedule. | Preserved, since the name is part of what we buy. |

Denis Shulga, CPA, EA, founding CPA
Every conversation is with the people who make the decision and sign the check. Denis is the principal of VistaTax, a California practice serving individuals and closely held businesses. His own work is the work the practices we acquire are built on: individual and business tax preparation, tax planning, bookkeeping, financial reporting and payroll.
Licensed CPAs hold majority ownership and full professional control of every firm we acquire, and a practicing CPA sits at the table for every transition.
Five steps, about twelve weeks
- Week 1Introductory call
A first call with our CPA team to see whether there is a fit.
- Weeks 1 to 2Fit and indication
You share high-level figures and we give an indication of value.
- Weeks 3 to 4Offer and LOI
A written offer with funding confirmed and proof of funds for your broker.
- Weeks 5 to 8Quiet diligence
A finite list of requests, so your office routine is undisturbed.
- Weeks 9 to 12Close and transition
Cash at close, then a transition on your schedule, announced in your words.
After the close you can stay two or three seasons at meaningful compensation and introduce your successor client by client, or step back sooner.
Where the playbook has worked
Dwelly, United Kingdom
Residential lettings. More than twenty-five agencies acquired with their original brands retained, margins improved two to three times with AI-supported operations, and a $170M Series B raised in 2026.
Zinco, Spain
Accounting firms. Multiple firms acquired and integrated, routine payroll and bookkeeping automated under professional review, staff moved to advisory work, and owners staying through the transition.
Case-study results relate to other operating companies and are not a guarantee of outcomes.
What owners ask first
Is the range an offer?
No. It is an estimate before terms. An offer comes in writing after you share high-level figures and we give an indication of value.
Who sees my answers?
Our deal team only. Every conversation, document and figure stays between principals until you decide to tell your clients and staff.
How is the price paid?
Cash at close, plus a retention-linked earn-out or holdback where the deal calls for it, which is standard in CPA deals. A seller note on market terms and an equity rollover are options.
I already work with a broker.
We work with brokers. You can reach us through yours at any point, and proof of funds goes to your broker at LOI.
